Setli Pty Ltd

Effective date: 27 September 2026

i
Important: These Terms govern access to and use of the Setli platform and are intended to operate together with Setli's Privacy Policy and any feature-specific notices shown in the platform. Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law.
01

About Setli and the Services

Setli Pty Ltd (Setli, we, us or our) operates the Setli software platform at www.setli.com.au and through related progressive web application (PWA), Android and iOS applications (together, the Platform). The Platform provides software tools for hosts, landlords, property owners, head-tenants, tenants, housemates and other authorised users to organise and record shared rental arrangements.

Depending on the features made available to an account, the Services may include:

  • creating and managing user, property, room and tenancy profiles;
  • inviting users and sharing property, room or view-only links;
  • creating rent schedules, recording rent, changing payment dates or schedules, requesting payment extensions and enabling supported automatic payment functionality;
  • processing or recording rent and other supported payments through third-party payment providers, including Stripe;
  • recording offline rent payments without a Setli platform fee or third-party payment processing fee for the recording itself;
  • creating and allocating shared expenses, bills and utilities, including equal, custom, recurring, one-off and room-specific items;
  • maintenance requests, household-item requests, tasks, reminders, calendars and related communications;
  • security-deposit or bond tracking tools, move-out workflows, tenancy close-outs, write-offs and historical records;
  • rental history and Tenant Card functionality, receipts, transaction history and shareable records;
  • rewards, referral incentives, host cashback, bonus programs and reward withdrawals where offered, subject to eligible online rent payment requirements;
  • financial dashboards, reports, estimates and exports;
  • email, SMS, push and in-platform notifications; and
  • customer support, help content and automated or AI-assisted support tools.

Features may be added, removed, changed, restricted or made available only to particular users, locations or account types. References to a Host include a person who creates or administers a rental arrangement on Setli, whether or not that person is the legal owner or landlord. References to a Tenant include a tenant, co-tenant, housemate or other occupant using the Platform.

Where available, additional Services may include Household Manager appointments and compensation, paid household tasks and rent credits, temporary absence requests, room transfers, Property Hub information sharing, shared purchases, third-party payment links, short-stay bookings, guest access and the ability for one account to hold multiple roles. Features are subject to release, eligibility and jurisdictional availability; inclusion in these Terms does not promise that a feature is currently live.

02

Acceptance of these Terms

By creating an account, selecting an acceptance box, accessing or using the Platform or Services, you agree to these Terms. If you do not agree, you must not use the Services. If you use Setli on behalf of an entity, household or other person, you warrant that you have authority to bind that entity, household or person to the extent legally permitted.

These Terms apply to the website, PWA, Android application, iOS application and any associated Setli service unless separate written terms expressly apply.

03

Eligibility, Registration and Account Security

You must be legally capable of entering a binding contract and must not be prohibited by law from using the Services. If you are under the age of majority in your jurisdiction, you may only use the Platform where legally permitted and with any consent required by law.

You must provide information that is accurate, complete and kept reasonably up to date. Depending on your use of the Services, this may include your name, email, telephone number, postal or residential address, property details, tenancy details, billing information and payment or identity-verification information required by a third-party payment provider.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. You must promptly notify Setli of suspected unauthorised access or a security breach. You must not share credentials in a way that enables another person to impersonate you or circumvent account controls.

04

Setli is a Technology Platform - Not a Party to Rental Arrangements

Setli provides software and payment-facilitation tools. Except where Setli expressly agrees otherwise in writing, Setli:

  • is not a landlord, lessor, tenant, property owner, real estate agent, property manager, letting agent, tenancy advocate, debt collector, insurer, financial adviser, accountant, lawyer, mediator or guarantor;
  • does not create, negotiate, approve, administer or enforce the legal terms of any residential tenancy, licence, lodging, boarding, house-share or other occupancy arrangement between users;
  • is not a party to any lease, tenancy agreement, housemate agreement, bond agreement, utility arrangement, maintenance contract or other agreement between users or between a user and a third party;
  • does not determine whether rent, fees, deductions, notices, rent increases, deposit deductions, evictions, move-outs or other actions are lawful in a particular jurisdiction;
  • does not verify that a Host has legal authority to list or administer a property or that a Tenant has a legal right to occupy it, except for checks that may be required for payment processing, fraud prevention or platform security;
  • does not provide trust-account services, does not maintain a real-estate trust account, and does not act as trustee or escrow agent for rent, expenses, bonds or other user funds;
  • does not guarantee the identity, conduct, solvency, reliability, suitability or legal compliance of any user; and
  • does not guarantee the condition, safety, legality, availability, habitability or accuracy of any property or listing.

Any rental, payment, property, maintenance, bond, refund, reimbursement, damage, utility, household or occupancy dispute is primarily between the relevant users or third parties. Setli is not obliged to investigate, mediate, adjudicate or resolve such disputes, although Setli may provide records, support tools or information where appropriate.

Nothing in this clause excludes responsibility that Setli cannot lawfully exclude for its own conduct or for the Services it directly supplies.

Where users appoint a Household Manager, arrange Paid Tasks or Shared Purchases, agree to a temporary absence or room transfer, or enter into a Short Stay, the underlying appointment, work arrangement, purchase, accommodation arrangement and related financial and legal duties remain between the relevant users. Setli supplies software and, where offered, payment-facilitation services; it does not become a principal, employer, agent, accommodation provider or contractual counterparty merely because an arrangement is recorded through the Platform. This does not exclude Setli’s own legal responsibilities.

05

User Responsibilities and Legal Compliance

Each user is responsible for complying with laws that apply to their own role and conduct, including tenancy, residential parks, lodging, boarding, rooming, consumer, privacy, anti-discrimination, building, safety, bond, tax and local-government laws where applicable. Each user must independently determine which country, state, territory, province, municipal or local laws, registration and licensing requirements, notices, approvals, permits, tax obligations, insurance conditions and contractual restrictions apply to their property, role and proposed use of each Platform feature, both before using that feature and as requirements change. The availability of a feature in a country or location is not confirmation that its use is lawful there. Where users are uncertain, they should obtain advice from a suitably qualified local professional or regulator.

5.1 Hosts

A Host is responsible for ensuring that they have authority to create and administer the relevant property or tenancy on Setli and for the accuracy of rent, room, availability, tenancy, payment, bond and other information they enter. A Host is responsible for serving any legally required notices, obtaining any required consents, lodging or handling bonds as required by law, arranging repairs and emergency responses, and complying with their legal obligations to occupants. In particular, a Host must check, before listing, inviting, booking, charging, varying rent, requesting deposits or appointing others, whether any licences, registrations, permits, development or strata approvals, bond lodgements, prescribed forms, limits, statutory notices, minimum notice periods, rent-increase frequency restrictions, payment-method rules, safety standards, insurance coverage or tax reporting obligations apply. The Host remains responsible for their compliance and the lawfulness of instructions they give an authorised Household Manager.

5.2 Tenants and housemates

A Tenant is responsible for reviewing the underlying rental or occupancy arrangement, paying amounts lawfully due, keeping contact and payment details current, and raising disputes directly with the relevant Host or other party. Use of Setli does not replace a user's obligation to comply with the underlying agreement or applicable law. Tenants, housemates and Guests must check the obligations and protections relevant to their status and location, including any required consent for subletting, guest stays, room transfers or arrangements made on behalf of others. Nothing in these Terms transfers a Host’s mandatory legal duties to a Tenant or Guest.

5.3 No unlawful or abusive use

You must not use the Services for fraud, money laundering, harassment, unlawful discrimination, unlawful debt collection, sham transactions, reward manipulation, unauthorised scraping, malware, interference with the Platform, impersonation, infringement of rights or any other unlawful or abusive purpose. Automated use is prohibited except through an interface or integration expressly authorised by Setli.

Hosts are responsible for checking local rules applicable to short-term accommodation, including registration, planning approvals, strata or building rules, insurance, fire and safety measures, consumer disclosures and applicable taxes. Users offering paid household tasks or Household Manager appointments are responsible for any applicable employment, contracting, minimum wage, superannuation, workplace safety, licensing, tax and insurance obligations. A label such as “credit”, “task” or “manager” does not determine the legal character of an arrangement. Hosts must obtain and maintain any Short Stay registrations or approvals required in the property’s location, display any mandatory registration identifier and satisfy applicable advertising, booking, planning, zoning, building, fire-safety, occupancy, strata, tenancy, tax, insurance, refund and consumer-protection requirements. If a local law prohibits a stay, listing or booking, the Host must not use Setli to facilitate it. Setli may request compliance information or restrict use where appropriate, but does not certify the Host’s legal compliance by offering a feature.

06

Property, Room and User-Generated Content

Users may create property profiles, room listings, descriptions, availability information, photographs, attachments, maintenance content, receipts, notes and other materials (User Content). You retain ownership of your User Content, but grant Setli a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, display, transmit and process that content only as reasonably required to provide, secure, improve and support the Services and comply with law.

You warrant that you have the right to upload and share User Content and that it is accurate to the extent reasonably required for its purpose. You must not upload content that is unlawful, misleading, defamatory, invasive of privacy, infringing or malicious.

Shareable property, room, Tenant Card or other links may be accessible to any person who receives the link. You are responsible for deciding whether to create or share such links and for who receives them. Setli may provide controls to revoke or expire links, but cannot control copies, screenshots or onward sharing by recipients.

Information added to a Property Hub, including Wi-Fi passwords, keys, gate codes, access instructions, emergency contacts, manuals and other property details, is supplied by the Host or an authorised person. The Host must have authority to disclose it and must select appropriate permissions. Users receiving such information must use it only for the authorised property purpose, keep access details confidential and not redistribute them without permission. Setli will implement access controls as described in the Platform, but users must not rely on the Platform as a replacement for physical property-security measures.

07

Rent Schedules, Rent Changes, Extensions and Payment Dates

Setli may allow users to create rent schedules, record due dates, request or approve payment extensions, change one due date, change future payment schedules, and propose or record rent increases or decreases. These tools are administrative and do not determine whether a change, extension, increase, decrease or notice is legally effective. The Platform does not assess or approve the legality of proposed rent amounts, increases, frequency of increases, notice dates, repayment terms or effective dates under the law where the property is located. A workflow completing successfully does not establish that a change is enforceable.

Hosts and Tenants remain responsible for ensuring that any rent change, notice period, effective date, payment arrangement or variation complies with the underlying agreement and applicable law. A record in Setli is not a substitute for a legally required notice or agreement unless applicable law permits it to operate as such. Before requesting, issuing, recording or implementing a rent increase or other tenancy variation, the Host must independently check the relevant jurisdiction’s lawful frequency, amount limits (if any), permitted grounds, statutory notice periods, required notice form, service method, tenant-consent and dispute rights. The underlying parties remain responsible for serving valid notices and obtaining consent where legally required.

Where the Platform disables automatic payment after a rent change or requires a user to re-authorise a payment arrangement, the user is responsible for reviewing and re-establishing payment settings if desired.

Where available, a Tenant may request a temporary absence, task pause or reallocation, rent reduction or pause, expense adjustment or room transfer. A request does not of itself vary rent, tenancy obligations, occupation rights, bills or other contractual terms. Approval, applicable legal notices and any necessary agreement remain the responsibility of the Host and Tenant. A room transfer may change the room allocation, payment schedule and deposit records without deleting previous tenancy history; legal rights and any bond adjustments must be dealt with separately.

08

Payments, Stripe, Fees and Offline Payments

Payments made through the Platform are processed by third-party payment providers, including Stripe. Setli does not store full payment-card details and does not operate as a bank or deposit-taking institution. Users may also be subject to the terms, verification requirements and policies of the relevant payment provider.

Setli offers Hosts the ability to record rent payments received outside the Platform (Offline Rent Recording), including cash and direct bank transfers. Offline Rent Recording is free: Setli does not charge a platform or service fee for recording an offline rent payment. No Stripe or other third-party payment processing fee is incurred solely by making an offline rent record in Setli. This does not mean that a user's bank or other external payment provider will not charge a fee for the underlying payment outside Setli. Offline Rent Recording is an administrative record-keeping feature and does not involve Setli collecting, transferring or processing the underlying rent funds.

For eligible scheduled rent payments processed online through the Platform, the current Setli platform fee is 3.5% of the scheduled rent amount before approved Paid Task Rent Credits, Household Manager Rent Credits or similar credits or adjustments applied against the Tenant amount payable, unless a different applicable rate or basis is clearly disclosed before the payment. The Host, not the Tenant, bears the Setli rent platform fee and applicable Stripe or other third-party processing fees charged through the Platform. Setli does not add a separate Setli platform fee or pass its Stripe processing fee to the Tenant. The Tenant may nevertheless remain responsible for independent charges imposed by the Tenant’s own bank or payment provider outside Setli’s control. Hosts must not impose unlawful surcharges or seek to recover charges contrary to applicable tenancy or consumer law.

Other supported payment types, including bills, shared expenses, security deposits and reimbursements, may have different fee treatment. A zero Setli platform fee on a particular payment type does not mean that payment processor, bank, card, refund, chargeback or withdrawal fees will be waived. Any applicable charges will be shown in the relevant payment flow or otherwise disclosed as required by law.

Setli may change its fees, rates or fee structure from time to time on a prospective basis, subject to applicable law and any notice required. Where reasonably practicable, Setli will give notice of a material increase before it applies. A change will not retrospectively alter a Setli fee already incurred for a completed transaction. Unless an applicable future change has been notified and taken effect, Offline Rent Recording remains free as described above.

For clarity, percentage-based online rent platform fees, referral rates, host cashback rates, bonus calculations, eligible payment thresholds, minimum cashout or withdrawal thresholds, earning caps and similar commercial settings are Program Settings. Except for the express minimum eligibility requirements stated in section 15, the current Program Settings are those displayed in the Platform and may be changed prospectively in accordance with these Terms. A rate or threshold appearing in marketing, help material or a previous version of the Platform does not guarantee that rate or threshold indefinitely.

If an online payment is declined, returned, reversed, disputed, charged back or otherwise fails, the relevant obligation between users is not extinguished merely because the Platform initially displayed the payment as submitted or pending. Setli may adjust Platform records to reflect the final payment outcome.

Where an offline payment is recorded, Setli does not independently verify that cash, bank transfer or other value actually changed hands unless the Platform expressly indicates verification. Users are responsible for the accuracy of offline records and any confirmation obtained from the payer or recipient. Offline rent records may be included in rent histories, dashboards and administrative reports, but do not generate Tenant rewards, referral rewards, Host cashback, weekly bonus eligibility or other transaction-based Rewards under section 15. The absence of a Setli fee on Offline Rent Recording does not, by itself, restrict a user from recording and maintaining an offline rent history.

Setli may provide transaction records, account activity or relevant communications to a payment provider, bank or authority to support chargeback, fraud, security or legal processes where permitted by law and the Privacy Policy.

Payment links may allow a third party to pay a particular Tenant obligation, including eligible rent, expenses or deposits, without obtaining Tenant or property-management access. The person sharing the link is responsible for providing it only to an intended payer. A third-party payment does not automatically make the payer a tenant, guarantor or beneficiary of the underlying rental agreement. Refunds ordinarily follow the payment provider’s original-payment-method processes and any mandatory legal requirements. Transaction records may identify that payment was made on another person’s behalf. Rewards, if any, remain governed by the underlying eligible rent payment and the qualifying Setli user, not the outside payer.

Short Stay accommodation payments, where offered, are separate from scheduled long-term rent payments. The currently applicable Setli fee for a processed Short Stay payment is 3.5%, plus applicable Stripe or other payment processing costs, unless a different rate is displayed before confirmation. Offline Rent Recording is free only for supported rent records and does not automatically mean that the Platform offers a fee-free offline booking or Short Stay payment flow.

Where law requires a fee-free rent payment method, prohibits tenant surcharges or prescribes handling of money, the responsible users must comply regardless of available Platform payment options. Setli does not authorise any party to reclassify a statutory bond as a “security deposit” to avoid applicable bond handling or lodgement law.

09

Automatic Payments and Payment Authorisations

Where automatic payment functionality is available, the user authorising the payment is responsible for ensuring that the nominated payment method is valid and that sufficient funds or credit are available. Automatic payment is a convenience feature and is not guaranteed to occur successfully on every due date.

Setli may pause, cancel or require re-authorisation of automatic payment settings where payment details change, a rent schedule changes, a tenancy ends, a payment fails, a security concern arises or the payment provider requires it. Users remain responsible for monitoring amounts due and payment status.

10

Bills, Utilities, Shared Expenses and Household Items

Setli may allow users to create, split, allocate, request and record household expenses, bills, utilities and household items. Split calculations, allocations and recurring schedules are based on information entered by users and are provided as administrative tools only.

Setli does not determine whether a particular expense is legally payable by a Host, Tenant or housemate, whether a split is fair, or whether an amount can lawfully be recovered under a tenancy or occupancy arrangement. Users should resolve disagreements directly and obtain independent advice where necessary.

The Platform may restrict payment of certain expenses or features where rent is overdue or other product conditions are not satisfied. Such a restriction is a Platform rule only and does not determine the parties' underlying legal rights or obligations.

Shared Purchases, where offered, allow a household member to propose an item and an equal or custom split. A proposal becomes payable only when the selected participants have approved their shares under the Platform workflow. The creator/purchaser is responsible for buying the item, representations about its cost and condition, proof of purchase and providing the item; the participants are responsible for their approved shares under their own arrangement. Setli does not sell, inspect, warrant or take ownership of purchased items or adjudicate purchase disputes. No Setli platform fee is charged on Shared Purchase payments, although third-party processing charges may apply. Shared Purchases earn no Setli rewards and do not create a pooled household wallet.

11

Security Deposits and Bonds

Setli may provide counters, records and workflows for amounts described by users as security deposits, bonds, deposits received, amounts returned, amounts kept or amounts still held. Unless Setli expressly states otherwise in writing for a specific transaction, these features are record-keeping tools only.

Setli does not hold, lodge, administer, invest or act as trustee for a residential tenancy bond or security deposit and does not determine whether a deposit may lawfully be requested, held, transferred, deducted or retained. Hosts and Tenants are responsible for complying with applicable bond and tenancy laws, including any requirement to lodge money with a government authority or authorised scheme.

If a co-tenant is promoted to a primary or main tenant within Setli, any related deposit-transfer option records the users' chosen arrangement. It does not by itself transfer legal ownership of money or satisfy statutory bond-transfer requirements.

12

Maintenance, Tasks, Reminders and Emergency Matters

Maintenance requests, tasks, reminders, calendars and household-item requests are communication and organisation tools. Creating a request in Setli does not guarantee that another user has received, accepted or completed it and does not satisfy any statutory emergency-repair, notice or reporting requirement unless applicable law expressly provides otherwise.

Setli is not an emergency service. For urgent safety, medical, fire, gas, electrical, security or property emergencies, users must contact the appropriate emergency service, property contact, licensed contractor or authority directly.

Paid Tasks, where available, permit an authorised Host or Household Manager to offer household activities for approval. A claimant earns no task compensation merely by claiming or marking a task complete: the authorised approver must approve completion under the displayed rules. Eligible Tenant task payments ordinarily take the form of a Rent Credit, not a cash reward. A Rent Credit may reduce an amount payable but does not itself amend the scheduled rent; unused credits may carry forward subject to the applicable rules, and treatment at tenancy close-out depends on the parties’ arrangement and law. Where supported, non-Tenant Household Managers may receive an approved direct payout instead. Task credits and compensation are separate from the transaction-based Rewards Program and do not create referral, Tenant, Host or weekly bonus entitlement.

The person commissioning and the person doing a task are responsible for agreeing on its scope, safety, reasonable standards, any required qualifications and payment, and for resolving any dispute. Setli does not direct or supervise the work or guarantee performance. Nothing in these Terms determines whether a worker is legally an employee or contractor or waives non-excludable entitlements.

13

Move-Outs, Tenancy Close-Outs and Write-Offs

Setli may provide move-out notices, cancellation requests, Host acceptance or decline workflows, manual tenancy close-outs, unpaid-item write-offs and historical records. These features are administrative records and do not constitute legal eviction, termination, surrender, abandonment, debt forgiveness or release unless the relevant parties have separately satisfied all legal requirements.

A Host who marks an amount as written off or closes an unpaid item in Setli is changing the Platform record. Whether the underlying debt continues to exist, is waived, is recoverable or is legally extinguished depends on the parties' agreement and applicable law.

14

Tenant Card, Rental History, Receipts and Financial Information

Setli may generate a Tenant Card, payment history, on-time percentage, rental history, receipts, dashboards, financial summaries, estimates, reports or exports based on data held in the Platform. These outputs are informational records generated from Platform data and may be affected by user-entered information, offline payments, reversals, chargebacks, timing, corrections, write-offs or incomplete data.

A Tenant Card is not a credit report, tenancy database report, background check, reference, guarantee, financial product or recommendation. Setli does not warrant that a third party will accept or rely on it. Recipients should make their own enquiries and users should review information for accuracy before sharing it.

Financial dashboards, net-after-fee estimates, income, expense, profit and similar calculations are not accounting, tax, financial or investment advice and are not a substitute for professional advice or official records.

Online processed payments, user-entered offline rent confirmations, third-party payments and manager-entered changes may appear in reports and Tenant Card calculations to the extent supported by the relevant feature. Records of offline rent are not independently verified by Setli merely because they appear in a rental history. Short Stay bookings and payments do not contribute to normal long-term Tenant Card payment metrics or transaction-based rewards.

15

Rewards, Referrals, Cashback and Bonus Programs

Setli may offer rewards, referral earnings, host cashback, loyalty points, promotional credits, bonus pools or similar incentives (Rewards Program). Participation is subject to these Terms and the Program Settings displayed in the Platform, which may include eligibility criteria, reward and cashback rates, qualifying transaction rules, earning periods, earning caps, minimum withdrawal or cashout thresholds, expiry and inactivity periods, bonus arrangements and withdrawal or processing fees.

For Tenant rewards, Host cashback, referral commission and weekly bonus eligibility, an individual scheduled rent payment must (a) relate to a regular tenancy rent schedule rather than a Short Stay, (b) be processed online through the Setli Platform by a supported payment provider, (c) be successfully completed and settled for the amount payable after approved credits, (d) have an underlying scheduled rent amount of at least AUD $100 (or the applicable local-currency threshold clearly displayed in the Platform) before approved Paid Task Rent Credits or Household Manager Rent Credits, and (e) meet all other Rewards Program requirements. The minimum applies separately to each scheduled rent payment, not to aggregated smaller rent transactions or an entire tenancy. A rent record entered offline, an unpaid or failed online payment, and a Short Stay never qualifies merely because the scheduled amount is at least $100. Rewards are not finally earned until the qualifying payment is successful and subject to any applicable reversal or refund rules.

Offline rent payments, including cash, direct bank transfers and any rent payments recorded manually as paid outside the Platform, are not qualifying transactions for any transaction-based Rewards. Recording an offline payment, even where the amount is $100 or more, does not generate or accrue a Tenant reward, referral commission, Host cashback or entitlement based on the weekly bonus pool. Rent transactions processed online for less than the applicable $100 minimum are also ineligible. Bills, utilities, shared expenses, security deposits, bonds, reimbursements and other non-rent payments are not eligible for rent-based Rewards unless a separate promotion expressly states otherwise.

For qualifying regular-tenancy online rent payments, the current Host cashback rate is 0.4%, the Tenant reward rate is 0.2% and the eligible referral commission rate is 1%. Each percentage is calculated against the underlying scheduled rent for that qualifying payment before approved Paid Task Rent Credits, Household Manager Rent Credits or similar payment credits, not the smaller amount actually collected after those credits. A valid referral and the Platform’s attribution rules remain necessary to receive referral commission. Eligible settled online regular-tenancy rent payments may contribute to the weekly bonus under its displayed allocation rules; no weekly bonus entitlement arises solely from a scheduled or unpaid rent amount. The rates and weekly bonus rules are subject to the prospective Program Settings provisions in these Terms. No transaction-based Rewards arise from Offline Rent Recording, Short Stays, bills, utilities, shared expenses, security deposits, bonds, shared purchases, manager payouts or task credits as separate transactions.

Rewards are generally calculated only on eligible, valid and successfully completed transactions identified by Setli as qualifying transactions. Reversed, refunded, disputed, charged-back, fraudulent, self-referred, circular, artificial or manipulated transactions may be excluded and any associated rewards may be withheld, reversed or cancelled.

Rewards are promotional benefits, are not wages, interest, securities, financial products, investment returns or ownership interests in Setli, and are not guaranteed income. Rewards may have no cash value until successfully redeemed or withdrawn in accordance with the applicable withdrawal requirements. Third-party withdrawal or payment processing fees may apply and will be disclosed where required.

Setli may change the Program Settings, replace, suspend or discontinue all or part of a Rewards Program on a prospective basis. Where reasonably practicable, Setli will give notice of a material adverse change before it takes effect. Changes may apply to transactions, referrals or qualifying activity occurring after the effective date of the change. Setli will not retrospectively remove a reward that has already become finally earned and available for withdrawal solely because a Program Setting is later changed, except where these Terms permit reversal, expiry, forfeiture, correction or withholding.

Reward balances are subject to inactivity and expiry rules. Unless a different period is clearly displayed in the Platform, Setli may expire, cancel or forfeit unredeemed Rewards where a user has not logged into or meaningfully used their Setli account for a continuous period of 12 months. Setli may also apply a different inactivity or expiry period prospectively where that period is displayed in the Platform and any notice required by applicable law is given.

A Reward may also expire or be forfeited if the user does not redeem or withdraw it within an applicable redemption period displayed in the Platform. Where a separate redemption deadline applies, Setli may notify the user through the Platform or the user's registered communication details where reasonably practicable. Users are responsible for maintaining access to their account and keeping their contact information current.

If an account is closed, suspended or terminated, unredeemed Rewards may be cancelled or forfeited where permitted by applicable law and these Terms. Setli may permit a withdrawal before closure in circumstances determined by Setli, but is not required to do so where the balance is below the applicable minimum cashout threshold, is under investigation, is not yet finally earned, or is subject to reversal, chargeback, fraud, error or other disqualification.

Setli may withhold, reverse, cancel or correct Rewards that arise from a refunded, reversed, disputed, charged-back, failed, duplicated, artificial or fraudulent transaction, a self-referral or circular payment arrangement, an error in calculation or system processing, a breach of these Terms, or conduct reasonably determined to manipulate the Rewards Program. Where a Reward has already been withdrawn and is later validly reversed, Setli may offset the reversed amount against future Rewards or other amounts payable through the Platform to the extent permitted by law.

Rewards have no guaranteed ongoing value or rate. Setli does not guarantee that any particular referral percentage, cashback percentage, bonus amount, minimum cashout threshold or other Program Setting will remain available for any minimum period. The Program Settings shown in the Platform at the relevant time govern future qualifying activity, subject always to applicable law and any rights that cannot lawfully be excluded. Setli may suspend or investigate a Rewards account where it reasonably suspects fraud, abuse, manipulation, duplicate identities or other misuse. Setli will not exercise a contractual discretion in a way prohibited by applicable law.

The currently advertised Tenant reward rate is 0.2%, Host cashback is 0.4% and eligible referral commission is 1%, each subject to the same successfully processed online rent transaction threshold of at least AUD $100 per individual transaction (or the threshold expressly shown for the relevant currency). Eligibility for any weekly bonus pool or bonus points likewise requires eligible online rent payment activity and compliance with its displayed allocation rules. Recording offline rent does not qualify for any of these benefits.

No transaction-based Setli rewards, cashback, referral commission, bonus points or weekly bonus qualifying activity accrue from Short Stay bookings or payments, irrespective of amount, payment method, payer or the user’s other roles. This specific exclusion overrides any general reference elsewhere to qualifying Host or referral transactions. Shared Purchases, expenses, deposits, Paid Task credits and Household Manager compensation likewise do not themselves generate rent-based rewards.

A user may hold multiple roles including Host, Tenant, Co-Tenant, Household Manager and Short Stay Guest through one account. Rewards attribution follows the eligible payment, verified entitlement and actual role for the relevant property; holding multiple roles does not duplicate benefits. A Household Manager does not receive the Host’s property cashback solely by managing that property; the Host retains any eligible Host rewards. Manager compensation, task credits and referral rewards arising from the manager’s own eligible separate activity remain distinct.

15.1 Household Manager appointment and authority. A Host may invite an existing Tenant or an external user to manage one or more specified properties with Full or Custom permissions. The appointment and its scope arise between the Host and Manager, not between either party and Setli. The Host remains responsible for authorising, monitoring and revoking permissions, and for acts carried out on the Host’s behalf subject to applicable law. A Manager must act only within granted permissions; access to one property gives no right to access others. Host-only functions, including ownership, payout configuration, Host cashback and appointment control, remain restricted to the Host.

15.2 Household Manager compensation and disputes. A Host and Manager may agree to Rent Credit (where the Manager is an eligible Tenant), Manager Payout or no compensation. The compensation amount, frequency, commencement, variation and termination are matters between them and must comply with law. A Rent Credit reduces the eligible amount payable but does not by itself reduce contractual scheduled rent. For eligible online processed regular-tenancy rent, the Setli platform fee and the Host, Tenant and referral percentage rewards are calculated on scheduled rent before approved credits, subject to successful settlement and applicable rewards eligibility rules. The Host bears the applicable Setli and Stripe processing fees. Approved Manager Payouts are subject to payment provider availability and fees. Setli is not an employer of a Manager and does not guarantee performance, continued access, payment or the lawfulness of the arrangement. Disputes about scope, work, compensation, deductions, alleged misconduct or appointment termination remain between the Host and Manager, without excluding Setli’s own obligations.

15.3 Manager records and appointments. Changes made by an authorised Manager may appear in the Host’s property data and audit history. Appointment status may be pending, active, paused or ended. Ending or pausing access does not retrospectively reverse authorised property actions, alter historical payment or compensation records, or itself settle any dispute or outstanding amount.

15.4 Short Stays and Guest arrangements. A Short Stay permits a Host to invite or accept a Guest for a defined stay at an identified room, subject to availability and the displayed rules. The booking, accommodation, housekeeping, cleaning, condition, safety, access, check-in, check-out, damage, cancellation, refund, deposit and conduct obligations are between the Host and Guest, not Setli. The Host must ensure it is authorised and legally permitted to provide the stay and must disclose applicable terms before acceptance. Setli does not operate, inspect, supervise or guarantee any property or stay and is not an accommodation provider merely because its software is used. This does not exclude liabilities Setli cannot lawfully disclaim. Before publishing a listing or accepting a Guest, the Host must verify all location-specific requirements, including any short-term accommodation registration, licence, advertisement or registration-number disclosure, planning or zoning consent, building or strata restriction, fire and safety requirements, insurance and taxes. The Host is responsible for entering accurate registration information and complying with relevant cancellation, deposit and consumer-protection laws. The fact that a Short Stay can be created, scheduled or paid for in Setli does not establish that the stay is legal.

15.5 Booking conflicts and deposits. While a Short Stay is confirmed, the Platform may restrict overlapping stays or long-term tenancies for the same room. Cancelling a booking to make way for another arrangement remains subject to the agreed terms and the Guest’s legal rights. A recorded Short Stay deposit is not automatically held by Setli, and its legal classification, collection, custody, refund or deduction is the responsibility of the relevant parties in accordance with law.

15.6 Different account roles and property relationships. One Setli account may carry multiple property-specific roles. Switching roles or adding a new role does not combine separate tenancy, Host, Guest or Manager agreements, transfer debts or ownership, or remove existing history. The available pages and permissions depend on the chosen role and property.

16

Notifications and Communications

Setli may send transactional, account, payment, maintenance, task, security, product and service communications by email, SMS, push notification or in-platform message. Delivery depends on third-party telecommunications and device services and is not guaranteed. Users remain responsible for monitoring their account, rent obligations, legal notices and other time-sensitive matters.

Marketing communications will be sent in accordance with applicable law and may be unsubscribed from using the method provided. Transactional or legally required service messages may still be sent where permitted.

17

Automated and AI-Assisted Support

Setli may provide automated, chatbot or AI-assisted support, help content or feature guidance. Automated responses may be incomplete or inaccurate and are provided for general assistance only. They are not legal, financial, accounting, tenancy, property-management or professional advice. Users remain responsible for checking important information and obtaining qualified advice where appropriate.

18

Mobile Applications and App Stores

If you download or use a Setli mobile application through Apple App Store, Google Play or another authorised distribution platform, you receive a limited, personal, revocable, non-exclusive, non-transferable licence to install and use the application on devices you own or control, subject to these Terms and the rules of the applicable app store.

Apple, Google and other app-store operators are not parties to rental arrangements between Setli users and do not provide the Setli Services. To the extent required by the applicable store rules, Setli - not the app-store operator - is responsible for the application, support, product claims and these Terms. App-store operators may be third-party beneficiaries of provisions that are expressly required for distribution through their stores.

You must not reverse engineer, decompile, circumvent security, copy the application except as permitted by law, or use it to create a competing or derivative service. This restriction does not limit any right that cannot lawfully be excluded.

19

Privacy and Data

Setli handles personal information in accordance with its Privacy Policy, available through the Platform and at www.setli.com.au. The Privacy Policy explains the categories of information collected, purposes of use, service providers, overseas processing, retention, security, privacy rights and account/data deletion processes.

Users who upload information about another person are responsible for ensuring they have a lawful basis and any required authority or consent to do so.

Access to information is role- and property-specific. A Household Manager may see or change only the information made available under the Host’s permissions; an external payer should receive only payment-specific information; a Short Stay Guest should see only the details necessary for that stay. Hosts are responsible for making appropriate disclosures to occupants, managers and guests and must not enter unnecessary third-party personal or sensitive information into the Platform.

20

Third-Party Services, Availability and Changes

The Services depend on third parties such as payment processors, cloud-hosting providers, communications providers, analytics services, mobile operating systems and app stores. Setli is not responsible for a third party's independent acts, omissions, outages, terms or services, but this does not exclude responsibility Setli has under law for its own supply of the Services.

Setli may perform maintenance, modify features, introduce limits, update software, change workflows or discontinue functionality. We will use reasonable efforts to avoid unnecessary disruption and, where required by law or where a change materially affects paid Services, provide appropriate notice.

21

Refunds, Cancellations and Australian Consumer Law

Rental payments, bonds, reimbursements, expense claims, rent adjustments and other amounts owed between users arise from the users' underlying arrangements and must generally be resolved between those users. Setli does not decide whether one user owes another a refund or adjustment.

Setli platform or service fees are not refundable merely because users later disagree about a rental arrangement, except where Setli agrees otherwise or a refund is required by law. A payment provider may apply separate reversal, refund or chargeback rules.

Nothing in these Terms excludes, restricts or modifies consumer guarantees, rights or remedies that cannot be excluded under the Australian Consumer Law or other applicable law. Setli's Services come with guarantees that cannot be excluded under the Australian Consumer Law where those guarantees apply. For a major failure with the Services, you may be entitled to cancel the affected service and to a refund for any unused portion or compensation for reduced value, as well as compensation for other reasonably foreseeable loss or damage. For a non-major failure, you may be entitled to have the failure remedied within a reasonable time and, if it is not remedied, to cancel the affected service and obtain a refund of the unused portion as provided by law.

Short Stay booking prices, deposits, cancellation terms, check-in and check-out arrangements, property rules, changes and refunds are matters to be clearly disclosed and agreed between the Host and Guest before booking, subject to consumer law and other applicable rules. Setli may facilitate recording, communications, payments and refunds, but does not itself decide whether a Guest or Host is legally entitled to cancel or retain an amount. Where a transaction is processed using Stripe, provider refund and chargeback procedures may also apply. Neither a Host’s cancellation policy nor these Terms override mandatory consumer rights.

22

Intellectual Property

The Platform, software, Setli name and branding, interface, design, code, databases, graphics, icons, written content and other materials supplied by Setli are owned by or licensed to Setli and are protected by intellectual property laws. Except for the limited licence to use the Services, no intellectual property right is transferred to you.

You may not reproduce, republish, sell, sublicense, scrape, index for a competing commercial service, systematically extract, modify or distribute Setli materials except as expressly permitted by Setli, by applicable law or by functionality intentionally provided for sharing or export.

23

Suspension, Termination and Account Closure

You may stop using Setli and may close or request deletion of your account using the functionality made available in the Platform or the deletion method described in the Privacy Policy. Account deletion does not automatically cancel or extinguish legal obligations between users, payment-provider obligations, chargebacks, debts, records that Setli is legally required to retain or data that must be retained for security, fraud prevention, dispute handling or regulatory compliance.

Setli may suspend, restrict or terminate access where Setli reasonably believes that a user has materially breached these Terms, engaged in fraud or unlawful activity, created security or financial risk, abused another user, manipulated a Rewards Program, misused payment functionality or where suspension is required by law or a service provider. Where reasonably practicable and appropriate, Setli may provide notice or an opportunity to remedy the issue.

Where a Host pauses, revokes or ends a Household Manager appointment, the Platform may remove that manager’s future access while preserving historical records and legally required audit information. Account termination and the end of a property-specific appointment are different actions, and do not automatically extinguish accrued compensation or existing contractual rights.

24

Disclaimers

Subject to rights that cannot lawfully be excluded, the Platform and Services are provided on an "as available" basis. Setli does not warrant uninterrupted or error-free operation, that every notification will be delivered, that every user-entered record is accurate, or that the Services will meet every user's particular legal, accounting, tenancy or property-management requirements.

Setli is not responsible for loss caused solely by another user's breach of a rental arrangement, unlawful conduct, property damage, non-payment, inaccurate listing, failure to repair, failure to lodge a bond, unauthorised occupancy or other matter outside Setli's reasonable control. This clause does not exclude liability that arises from Setli's own breach of a non-excludable obligation.

25

Limitation of Liability

To the maximum extent permitted by law, Setli is not liable for indirect, incidental, special or consequential loss, loss of opportunity, loss of profit or loss of goodwill arising from use of the Services, except to the extent such liability cannot lawfully be excluded or limited.

Where the Australian Consumer Law permits Setli to limit its liability for a failure to comply with a consumer guarantee relating to Services that are not ordinarily acquired for personal, domestic or household use, Setli may limit its liability, at Setli's option, to supplying the relevant Services again or paying the cost of having those Services supplied again, to the extent permitted by law.

No liability limitation in these Terms applies to fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited.

26

Indemnity

To the extent permitted by law, you indemnify Setli against third-party claims, losses and reasonable costs arising directly from your unlawful conduct, your infringement of another person's rights, your User Content, or your material breach of these Terms. This indemnity is reduced to the extent that the loss was caused or contributed to by Setli and does not apply where enforcement would be unfair, unconscionable or otherwise prohibited by law.

27

Dispute Resolution

If a dispute arises between you and Setli, either party may give written notice describing the dispute and the outcome sought. The parties will use reasonable efforts to resolve the dispute in good faith before commencing court proceedings, except where urgent interlocutory or injunctive relief is required or where a statutory right permits immediate action.

If the dispute is not resolved within 28 days after written notice, either party may propose mediation through a mutually agreed mediator or an appropriate Australian mediation service. The parties will share the mediator's fees equally unless otherwise agreed, while each party bears its own costs. Participation in this process does not remove any right to contact a regulator, consumer-protection body or tribunal where permitted by law.

28

Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia, without excluding any mandatory law that applies to you in another jurisdiction. Subject to any applicable statutory right to use another court or tribunal, the parties submit to the courts of New South Wales, Australia and courts entitled to hear appeals from them.

29

Changes to these Terms

Setli may update these Terms to reflect changes to the Services, law, security requirements, payment providers or business operations. For material changes, Setli will provide reasonable notice through the Platform, email or another appropriate method where required. Changes will apply prospectively from the stated effective date. Continued use after the effective date constitutes acceptance where permitted by law.

30

General

If any provision of these Terms is void, invalid or unenforceable, it will be read down to the extent necessary or severed, and the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy and any feature-specific terms or notices form the agreement between Setli and the user concerning the Services, subject to rights that cannot be excluded by law.

Headings are for convenience only. Words such as "including" do not limit the generality of what follows. A reference to law includes amendments and replacements.
